Terms of Service

Please read these Terms of Service ("Terms") carefully before using the website at www.thehirewings.com or engaging the services of HireWings ("HireWings", "we", "us", "our").

By accessing our website, submitting an enquiry, or entering into a recruitment services agreement with us, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

These Terms apply to: (a) employers and hiring managers who engage HireWings for recruitment services ("Clients"); (b) candidates introduced to or placed with Clients by HireWings ("Candidates"); and (c) all visitors to our website ("Users").

1. Services

HireWings provides professional recruitment services including permanent recruitment, executive search, volume hiring, talent mapping, contract staffing, and embedded recruitment. The specific scope, terms, and fees applicable to any engagement are set out in a separate written agreement ("Engagement Letter") between HireWings and the Client.

Our website provides information about our services, facilitates initial enquiries, and hosts a public job board for candidates. The website is provided on an "as is" basis for information purposes. Submission of a contact form does not constitute a binding services agreement — that requires a signed Engagement Letter.

2. Employer and Client Terms

2.1 Engagement and Instructions

By engaging HireWings to conduct a recruitment search, you instruct us to source, identify, and present candidates for your vacancy. You agree to provide accurate and complete information about the role, company, compensation, and working conditions necessary for us to conduct the search effectively.

2.2 Candidate Introductions

A candidate is considered "introduced" to a Client from the moment HireWings shares a candidate's CV, profile, or contact details with that Client, whether verbally, by email, or through our systems. An introduction fee is payable if the Client or any associated entity employs, contracts with, or otherwise engages an introduced candidate within 12 months of introduction, regardless of how the engagement came about.

2.3 Client Obligations

  • Provide timely feedback on candidates presented (within agreed timeframes in the Engagement Letter)
  • Conduct interviews and make hiring decisions fairly and without unlawful discrimination
  • Notify HireWings promptly upon making an offer to, or engaging, an introduced candidate
  • Not re-introduce an HireWings candidate to a third party without our prior written consent
  • Comply with all applicable employment laws when hiring through HireWings

2.4 Guarantee Period

Our standard guarantee period for permanent placements is 90 days from the candidate's start date, unless a different period is specified in the Engagement Letter. If a placed candidate leaves or is dismissed for performance reasons within the guarantee period, we will conduct one replacement search at no additional fee, subject to (a) the original fee having been paid in full, (b) the role specification remaining materially the same, and (c) HireWings being notified in writing within 7 days of the candidate's departure.

2.5 Equal Opportunities

Clients must comply with all applicable anti-discrimination and equal opportunities legislation. HireWings will not accept instructions that discriminate unlawfully on the basis of age, sex, gender, race, religion, disability, pregnancy, sexual orientation, or any other protected characteristic.

3. Candidate Terms

3.1 Accuracy of Information

Candidates agree to provide accurate, complete, and up-to-date information about their qualifications, work history, skills, and eligibility to work in the relevant jurisdiction. Providing false or misleading information may result in removal from our talent database and, if discovered post-placement, may entitle the Client to terminate the engagement.

3.2 Consent to Introduction

By engaging with HireWings as a candidate, you consent to us sharing your CV and professional profile with relevant client employers in connection with specific roles. We will not share your details speculatively without your knowledge. You may withdraw your consent at any time by contacting us, subject to any commitments already made to a Client in connection with an active process.

3.3 Candidate Conduct

Candidates agree to attend confirmed interviews, promptly notify HireWings of any change in circumstances that affects their availability or eligibility, and deal professionally and in good faith with HireWings and Client employers throughout any recruitment process.

3.4 No Fee to Candidates

HireWings does not charge candidates any fee for our recruitment services. Our fees are paid entirely by the Client employer. No candidate should pay any sum to HireWings in connection with a job placement.

4. Acceptable Use of Our Website

You agree not to use our website to:

  • Transmit any material that is unlawful, fraudulent, defamatory, or infringes any third party's rights
  • Submit false enquiries or impersonate another person or organisation
  • Attempt to gain unauthorised access to our systems, admin panels, or databases
  • Use automated scraping, bots, or crawlers to extract data from our website
  • Transmit malware, viruses, or other harmful code
  • Engage in any activity that interferes with or disrupts the website's functionality

Violation of these acceptable use provisions may result in immediate blocking of access and, where applicable, referral to law enforcement authorities under the Information Technology Act, 2000 or other applicable law.

5. Fees and Payment

Fees for recruitment services are set out in the Engagement Letter and are typically calculated as a percentage of the placed candidate's first-year total remuneration (base salary plus fixed allowances). Fees are due and payable within the timeframe specified in the Engagement Letter, which is typically 14–30 days from the invoice date.

All fees are quoted exclusive of Goods and Services Tax (GST). GST at the prevailing rate will be applied to all invoices where applicable under Indian law. Late payments attract interest at 1.5% per month (or the maximum permitted by law if lower) on the outstanding balance from the due date.

For retained or engaged search assignments, the initial retainer is non-refundable and represents payment for research and market mapping services rendered.

6. Intellectual Property

All content on the HireWings website — including but not limited to text, graphics, logos, icons, images, page layouts, and the selection and arrangement of content — is owned by or licensed to HireWings and is protected under applicable copyright, trademark, and intellectual property laws.

You may access and view the website for personal or internal business use. You may not reproduce, distribute, modify, publicly display, or create derivative works from any website content without our prior written consent.

Candidate CVs and employer job briefs shared with HireWings in the course of an engagement remain the intellectual property of their respective owners. HireWings receives a limited licence to use this material solely for the purpose of the recruitment assignment.

7. Confidentiality

Both parties acknowledge that in the course of an engagement, each may receive confidential information about the other's business, including but not limited to: compensation structures, headcount plans, organisational changes, candidate pipelines, and commercial strategies.

Each party agrees to hold the other's confidential information in strict confidence, to use it only for the purpose of the engagement, and not to disclose it to any third party without prior written consent — except as required by law or as permitted under these Terms.

HireWings will conduct searches on a confidential basis where instructed to do so. In such cases, the existence of the role and the identity of the Client will not be disclosed to candidates until the Client provides written consent.

8. Data and Privacy

The collection, use, and protection of personal data by HireWings is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Clients who provide candidate data to HireWings, or who receive candidate data from HireWings, are responsible for ensuring that their own processing of that data complies with applicable data protection law, including the DPDP Act 2023 and GDPR (where applicable). Clients must not use candidate data provided by HireWings for any purpose other than the specific recruitment engagement for which it was shared.

9. Warranties and Limitation of Liability

9.1 No Guarantee of Placement

HireWings does not guarantee that any recruitment search will result in a successful placement. We will conduct searches with reasonable skill, care, and diligence, but the availability of suitable candidates and the Client's hiring decisions are beyond our control.

9.2 No Employment Warranty

HireWings is not the employer of any candidate placed with a Client. We do not warrant that a candidate will perform to any particular standard or remain in the role for any minimum period beyond the guarantee period. The employment relationship is solely between the Client and the candidate.

9.3 Website Availability

We do not warrant that our website will be continuously available, free from errors, or free from viruses or other harmful components. We will take reasonable steps to ensure availability but accept no liability for downtime or technical failures.

9.4 Limitation of Liability

To the fullest extent permitted by applicable law, HireWings' total liability for any claim arising under or in connection with these Terms or any Engagement Letter shall not exceed the total fees paid by the Client to HireWings in the 12 months preceding the event giving rise to the claim. HireWings shall not be liable for any indirect, consequential, special, or incidental loss, including loss of profits, loss of business, or loss of data.

Nothing in these Terms limits or excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.

10. Indemnification

Clients agree to indemnify, defend, and hold harmless HireWings and its directors, employees, and agents from and against any claims, damages, costs, and expenses (including reasonable legal fees) arising from:

  • Any breach of these Terms by the Client
  • Any unlawful or discriminatory conduct in the Client's hiring or employment practices
  • Any misuse of candidate data provided by HireWings
  • Any claim by a candidate arising from the Client's conduct during or after the recruitment process

11. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including any non-contractual dispute or claim) shall be governed by and construed in accordance with the laws of India.

The parties submit to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India for the resolution of any dispute arising under or in connection with these Terms, subject to any mandatory jurisdiction provisions of applicable law.

Where any dispute arises between HireWings and a Client, the parties agree to first attempt to resolve the dispute through good-faith negotiation within 30 days of either party notifying the other in writing of the dispute, before commencing formal legal proceedings.

12. Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will update the "Last updated" date above. For Clients under an active Engagement Letter, the Terms in effect at the time the Engagement Letter was signed will govern that engagement unless both parties agree in writing to updated Terms.

Continued use of the website after updated Terms are published constitutes acceptance of the revised Terms for website usage purposes.
